Castel Group has entered into an agreement to acquire Diageo's 80.4% shareholding in Guinness Ghana Breweries PLC for GH¢5.15 per share. The agreement was finalized with the signing of a share purchase agreement on January 28, 2025.
The acquisition is subject to approval by the ECOWAS Regional Competition Authority (ERCA). Castel Group has committed to adhering to the Securities and Exchange Commission's Code on Takeovers and Mergers, 2008, ensuring compliance with all required steps under the Code. As stipulated, the mandatory takeover offer remains contingent upon the completion of Diageo's stake acquisition and the necessary ERCA approval.
Castel Group, a prominent global beverage manufacturer, is already a partner to Diageo in 11 other African markets. The company has expressed its commitment to further strengthening the growth and development of Guinness Ghana Breweries PLC following the acquisition.
